Steps to Licensing Technology From UCLA


1. Secrecy Agreement


Signing CDA to review confidential information such as patent applications, and manuscripts and to engage in technical conversations with inventor.

2. Discussions


Discussions with licensing officer responsible for case regarding company interest in technology.

3. Letter of Intent


If company is interested in pursuing license negotiations , typically a three month letter of intent is signed giving the company a period of exclusivity. The letter of intent is typically issued for a modest fee and reimbursement of patent expenses in curred during the term of the letter of intent.

4. Term Sheet


Development of term sheet by company.

5. Agreement

License Agreement
Once term sheet is agreed to, start negotiations using UCLA boilerplate license agreement as a starting point.
Option
In situations where a company is not ready to go forward with a license, but needs a period of exclusivity longer than three to six months, an option agreement is recommended.
